We have one voting topic to discuss regarding updating Article 10 of our bylaws. Currently the verbiage states that:

“A Quorum for General Meetings shall be not less than 25% of votes of members in good standing present in person. A quorum for Board of Directors meetings shall be not less than 50% of Directors present in person. An emergency meeting of the Board of Directors may be held by electronic means if at least six(6) Directors waive the right to an in person meeting.

Your Board is asking to adjust this verbiage to allow electronic meetings outside of an emergency session. As many of our members including Board Members travel, have obligations at home, etc,. Updating this verbiage will allow your BOD meetings the ability to vote remotely and move forward with work critical to supporting the club. The alternative Article 10 section would be updated to:

“A Quorum for General Meetings shall be not less than 25% of votes of members in good standing present in person. A quorum for Board of Directors meetings shall be not less than 50% of Directors present either in person or electronically. The definition for “electronically” for Board of Director meetings is restricted to video or phone conferencing or a combination of the above.

None of the Quorum rules for either General Meetings or BOD meetings will be altered.
